Cudium Terms and conditions

Article 1 - Introduction

These terms and conditions(hereinafter referred to as “terms of use”, “terms of service”) is between you (hereinafter referred to “you” or /and “your”) and Cudium (hereinafter referred to as “us”, “we” and ,“our”).By using, accessing, clicking, on “I agree” on our website, mobile application, it connotes that you have read, understood and agreed to our terms and conditions.

Please read these terms and conditions carefully before you agree to it. You will be bound to these terms and conditions upon agreeing to it.

Article 2 - Definition

Cudium: Cudium is a cross-border online platform built to solve the problem of international payments. Making transactions easy, quick, safe, affordable, and transparent. Cudium is not limited to (www.cuduim.com ), also includes a mobile application (“mobile wallet”) where transactions are carried out by users.

Users: on this platform refers to any person who withdraws, deposit, transfer, convert, access, use, click, and have registered on Cudium through our mobile application and website.

Transaction: for the purpose of these terms and conditions, "transaction” is any deposit, withdrawal, transfer, conversion, carried out by a registered user on Cudium

Cudium Account: Any registered account on our platform shall be called Cudium Account.

Platform: according to these terms and conditions platform shall mean Cudium website and Mobile Applications.

Currency: shall means any Naira, Dollar, Pound, Euro, etc., and any other currency allowed on Cudium.

Article 3 - Registration

For users to have a Cudium account, there will be a process of registration.

The registration process shall include information from users. The user’s name, email, and phone number

Users shall be required to create their own passwords to access their accounts. Users shall be required to complete their KYC verification before users can make any transaction.

Article 4 -Alteration and Modification

Modification of terms and conditions applies from the day we update our platform.

It shall be the sole responsibility of our users to read through the modifications, updates, replacements, changes, alterations, and amendments of the terms of service.

The continued usage of our mobile applications and website, after modifications, means that the users have agreed to the modifications and alteration.

Article 5 - Language of Use

English shall be the language of communication of these terms and condition between you and Cudium.

Article 6 - Restrictions and Termination

When you register on Cudium, you shall follow the terms and conditions, the rules and procedure, and carry out all transactions and usage in accordance with these general terms and conditions between you and Cudium and any modification or update made to these terms and Conditions.

Users shall use Cudium in line with the requirements of applicable laws and regulations.

This agreement is deemed terminated when you close or delete your Cudium Account.

Cudium may suspend or Block your account and denial you access to our service, fund, or end your Agreement:

The Law requires us to do so;

Where fraudulent transaction occurs or where there is a suspicion of fraud; or

We are directed by a Card Network or issuing financial institution.

Article 7- Age of Consent

Our registered users shall be persons from 18years of age and above. We shall not approve registration for any persons that is below 18 years of age.

Article 8 - Sophistication and Risk of Cryptographic Systems

By utilizing Cudium or interacting with our content or platform in any way, you represent that you understand the inherent risks associated with cryptographic systems.

Article 9- Maintenance of Liquidity with Cryptocurrency

Cudium shall, in the process of its financial operations, maintain high liquidity with crypto currencies such as USDT(Tether) and any other currency we deem fit, so as to enhance our liquidity pool.

Article 10 - Intellectual Property

Unless otherwise stated, Cudium and/or its licensors own the intellectual property rights and materials on the website and mobile application subject to the license below. All text, formatting (including without limitation the arrangement of materials on the Cudium platform and the graphics, animation, tools, commercials, music, video, articles, sound, copy, trade names, logos, and other materials and information on Cudium platform are subject to the intellectual property rights of Cudium and its affiliates and their licensors and licensees (collectively the “Content”).

We do not grant you any right, license, title or interest to any of our intellectual Property rights to which you may or may not have access. These content may not be copied, reverse engineered, decompiled, disassembles, modified or reposted to other websites.

Nothing on the Cudium site should be construed as granting by implication or otherwise, any license or right to use any Trademark displayed on the Cudium website without the written permission of Cudium or such third party that may own the Trademark. You agree to take such actions including any legal or official document or other documents that may be needed to further affirm our intellectual property rights.

Article 11- Prohibited Uses

BY USING THIS PLATFORM, YOU AGREE THAT YOU SHALL NOT USE THIS PLATFORM TO CARRY OUT ACTION THAT IS UNLAWFUL.

Cudium shall, or any material on Cudium shall not be used to carry out unlawful activities.

The usage of Cudium to facilitate or orchestrate acts that are against international, National, and state laws, rules, and procedures is prohibited.

Article 12- Disclaimer and Warranty

Cudium is a cross-border online platform built to solve the problem of international payments.

We shall not be recognized as rendering services other than our crossborder financial transaction; unless otherwise modified in our terms and services.

We shall not be liable for any service that exceeds our cross-border financial services in and on our platform.

Cudium shall not be held responsible for the non-availability of our platform at any time.

Article 13 - Governing Law

These terms and conditions shall be governed by the law of the Federal Republic of Nigeria.

In cases of dispute between us and users, haven exhausted dialogue, the party who wishes to proceed with legal action is subject to the exclusive Jurisdiction of a competent court. In this regards, Alternative Dispute Resolution (ADR) maybe reverts as a means of resolving dispute except it is the sole power of a legal court to adjudicate such matter or as expressly provided by applicable laws.

Article 14 - Limitation of Liability

CUDIUM SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS AGREEMENT, EVEN IF CUDIUM HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

CUDIUM’S AGGREGATE LIABILITY TO YOU, ANY INDIVIDUAL OR ANY THIRD PARTY IN ANY MATTER ARISING HERE FROM, RELATED OR CONNECTED TO OUR SERVICE IN OUR SOLE DISCRETION.

NOTHING IN THESE TERMS OF SERVICE SHALL LIMIT ANY LIABILITIES IN ANY WAY THAT IS NOT PERMITTED BY APPLICABLE LAW.

NOTHING IN THESE TERMS OF SERVICE SHALL EXCLUDE ANY LIABILITIES OR STATUTORY RIGHTS IN ANY WAY THAT MAY NOT BE EXCLUDED BY APPLICABLE LAW.

Article 15- Hierarchy

These Terms and conditions override and eject all previous agreements between you and Cudium whether written or oral, relating to its subject matter.

Article 16- Indemnification

You agree to indemnify, defend and hold harmless Cudium, affiliates, partners, officers, directors, agents, contractors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference or your violation of any law or the rights of a third-party.

Article 17- Severability

If the court or any competent authorities interpret any part of these terms and conditions to be unlawful and/or unenforceable, other part of these general terms of service shall be effective.

If any part of the provision of these general terms and conditions that is unlawful and/or unenforceable becomes lawful and enforceable, having been deleted due to its unlawfulness and unenforceability, it shall be considered deleted; the other provisions shall continue to have effect.

Article 18- No Financial Advice

Cudium functions neither as a broker, middleman, representative, nor consultant. It bears no fiduciary connection or responsibility to you concerning any trades, choices, or actions you make through Cudium. Any messages or data offered to you on Cudium’s platform are not meant to serve as, and should not be interpreted as, investment or financial advice.

Article 19- No Data Privacy

We recognize that in the process of registering on our platform, you have provided us with some of your personal information. Cudium recognizes the importance of protecting the information of users on our platform.

Cudium remains compliant with the Payment Card Industry Data Security Standard (PCI/DSS) requirement to the extent applicable. Please note that such requirements may be amended from time to time. With respect to all the Personal Information belonging to, and/or processed in connection with Cudium or this website, such Personal Information at all times is in compliance with all Data Protection Laws in the territory, in all respect, and in particular the Nigeria Data Protection Regulation 2019 and all applicable data protection regulation in force.

Cudium maintains a Privacy Policy which provides an overview of the Personal Information we collect about you or that you provide to us and how we store and use the information provided by you in line with applicable Data protection legislation. By using Cudium Services, you consent to such processing and you commit to providing accurate information.

Article 20- Cookies

Cookies are files created by websites you visit. They make your online experience easier by saving browsing information. With cookies, sites can keep you signed in, remember your site preferences, and give you locally relevant content.

Cudium uses cookies on its platform to create a better experience for their users.

Cudium maintains a Privacy Policy which provides an overview of the Personal Information we collect about you or that you provide to us and how we store and use the information provided by you in line with applicable Data protection legislation. Browser differs in response to cookies. While some may automatically accept cookies, some can be modified to decline cookies or notify users to grant a website cookies access.

Refusal to accept cookies may limit users’ ability to use our website.

Article 21- License to use our platform

Cudium grants you a non-exclusive, non-transferable, revocable license to use our platform in accordance with the documentation accompanying the software. This license grant includes all updates, upgrades, new versions and replacement software for your use in connection with our services.

This right does not include Cudium’s name, domain name, trade mark, copy right, logos, or any features distinctive in this line.

If you do not comply with the documentation and any other requirements provided by Cudium, then you will be liable for all resulting damages suffered by you, Cudium and third parties.

With the exceptional provision of applicable law, you agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code that is derived from the Software. Upon expiration or termination of this Agreement, you will immediately cease all use of any Software.
